1. Agreement to These Terms
By accessing or using the Insight Distribution Platform (“Platform”) — whether by browsing the public catalog, submitting a quote request, or logging in to a customer account — you agree to be bound by these Terms of Use (“Terms”).
If you do not agree, do not use the Platform. If you are accessing the Platform on behalf of a business, you represent that you have the authority to bind that business to these Terms.
2. About the Platform
2.1 What the Platform Is
The Platform is a private business ordering and distribution management tool operated by Texas Frost Holdings LLC on behalf of individual branch locations (“Branch”). It allows businesses to browse a Branch's product catalog, submit quote and pricing requests, place purchase requests, and manage shipping addresses, team member access, and account preferences.
2.2 What the Platform Is Not
- No real-time checkout or payment processing. No payment card or banking information is collected. All purchases are invoiced directly by your Branch.
- No binding purchase contracts at submission. Order and quote requests are requests only — not confirmed orders. A purchase is confirmed only when your Branch explicitly accepts it.
- No guaranteed pricing at submission. Prices displayed are indicative and subject to confirmation by your Branch.
- Not a self-service registration platform. Customer accounts are created by invitation from your Branch only.
2.3 Relationship Between Platform Operator and Your Branch
Texas Frost Holdings LLC operates the Platform technology on behalf of each Branch. Your Branch controls your account, your pricing, your order history, and your team member access. For more information, see the Privacy Policy.
3. Eligibility and Account Access
3.1 Business Use Only
The Platform is designed for business-to-business use. By using the Platform, you represent that you are using it for business purposes and not for personal, family, or household purposes.
3.2 Invite-Only Accounts
Customer accounts are available by invitation only. Your Branch creates your account using information you have previously provided. If you need access, contact your Branch directly.
3.3 Anonymous Browsing and Quote Requests
You may browse the public catalog and submit quote requests without a customer account. No personal account is created by browsing. Quote requests require contact information, which is transmitted directly to your Branch.
3.4 Minimum Age
You must be at least 18 years of age to use the Platform or to submit a quote or order request.
4. Account Security
4.1 Your Responsibility for Credentials
You are responsible for maintaining the confidentiality of your login credentials. Do not share your username or password with any other person. Each team member must log in with their own individual credentials.
4.2 Unauthorized Access
Notify your Branch immediately if you become aware of any unauthorized access to or use of your account. You may also contact Texas Frost Holdings LLC at privacy@insightdistribution.com.
4.3 Session Security
Sessions expire automatically after a period of inactivity. We recommend logging out when using shared or public devices. We are not responsible for losses resulting from your failure to log out or secure your credentials on shared devices.
4.4 Multi-Factor Authentication
Multi-factor authentication (MFA) is available for customer accounts. We strongly recommend enabling MFA, particularly for account owners and team members with purchase authority.
5. Team Members and Account Roles
5.1 Account Roles

| Owner | Full account access. Can manage team members, approve orders, and submit orders. |
| Co-Owner | Substantially equivalent access to Owner for day-to-day operations. |
| Purchaser | Can add to cart and submit orders. May require approval from an Owner or Co-Owner before order submission. |
| Viewer | Read-only access to order history and account information. Cannot add to cart or submit orders. |
5.2 Cart Approval Workflow
Some team members may be configured to require approval before their cart is submitted as an order. An Owner, Co-Owner, or authorized Purchaser must review and approve the cart before it is submitted to the Branch. Texas Frost Holdings LLC is not responsible for delays or rejections resulting from your account's internal approval workflow.
5.3 Managing Team Members
Account Owners and Co-Owners may invite additional team members, assign roles, and modify or remove access at any time. You are responsible for ensuring team members you invite are authorized to act on behalf of your business and are aware of these Terms.
5.4 Responsibility for Team Member Actions
You are responsible for all actions taken by team members using your account.
6. Browsing and Quote Requests
6.1 Public Catalog
Product information, pricing displays, and availability indicators are provided for informational purposes and are subject to change without notice. Displayed prices are not offers and are not binding.
6.2 Quote Requests
Submitting a quote request does not create a purchase obligation for you or a commitment by the Branch to sell at any particular price. Your Branch will contact you directly to respond.
6.3 Quote List Storage
Quote list items browsed without an account are stored in your browser's local storage only — not on our servers — until you submit the quote request. Clearing your browser data will clear your saved quote list. See the Cookie Policy for detail.
7. Cart and Order Requests
7.1 Orders Are Requests, Not Contracts
Submitting a cart as an order creates a purchase request transmitted to your Branch — not a binding purchase contract. Your Branch may accept, modify, decline, or partially fulfill any order request at their discretion. A purchase is confirmed only when your Branch issues written confirmation through their own process.
7.2 Pricing
Prices displayed are based on your account's pricing tier as configured by your Branch. Prices are subject to change and are not locked in at cart submission.
7.3 Availability
Product availability is based on inventory data imported by your Branch. The Platform does not provide real-time inventory availability. Displayed availability is informational and subject to change.
7.4 Backorder and Partial Fulfillment
Your Branch may offer to fulfill your order partially or on backorder terms. If backorder terms are provided, you may be asked to respond through the Platform before that portion of your order proceeds.
7.5 Shipping
Shipping address, method, and charges are subject to confirmation by your Branch. Selecting a shipping address in the Platform is a preference, not a confirmed shipping commitment.
8. Custom Work Requests
8.1 Cut-to-Size and Fabrication Requests
The Platform may allow you to submit requests for custom cut-to-size or fabrication services. You must provide accurate specifications including dimensions, quantities, tolerances, and any special instructions. You are responsible for the accuracy of specifications you submit.
8.2 File Attachments
Where file uploads are permitted, you represent that you have the right to submit those files and that they do not contain confidential third-party information you are not authorized to share.
9. Permitted Use
You may use the Platform solely for lawful business purposes in connection with your business relationship with your Branch, including browsing products, submitting quote and order requests, and managing your account and team members.
10. Prohibited Use
You may not use the Platform to:
- Access or attempt to access accounts, data, or systems belonging to other customers or branches
- Scrape, crawl, or systematically copy catalog content, pricing, or other data by automated means
- Reverse engineer, decompile, or attempt to extract the Platform's source code
- Submit false, fraudulent, or misleading quote or order requests
- Impersonate another person or business, or misrepresent your authority to bind a business
- Circumvent any security, access control, or authentication mechanism
- Use the Platform in violation of applicable law, including export control, anti-money-laundering, or sanctions laws
- Transmit malware, viruses, or any code designed to interfere with the Platform's operation
11. Intellectual Property
11.1 Platform Technology
The Platform's software, code, design, structure, features, and functionality are the property of Texas Frost Holdings LLC and are protected by applicable intellectual property law. These Terms grant you a limited, non-exclusive, non-transferable license to access and use the Platform for the purposes described. No other rights are granted.
11.2 Catalog Content
Product information, descriptions, images, and specifications displayed in the catalog may be owned by the Branch, by product manufacturers, or by Texas Frost Holdings LLC. You may not reproduce or redistribute catalog content without permission.
11.3 Your Submissions
When you submit a quote request, order, note, or other content, you grant Texas Frost Holdings LLC and your Branch a license to use that content for the purposes of fulfilling your request and operating the Platform. You retain any intellectual property rights you have in the content you submit.
12. Platform Availability
Texas Frost Holdings LLC does not guarantee that the Platform will be available at all times or free from interruption. The Platform may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. The Platform is hosted on infrastructure operated by third-party providers including Vercel, Inc. and Supabase, Inc. Service interruptions caused by these providers are outside Texas Frost Holdings LLC's direct control.
13. Disclaimers of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND. TEXAS FROST HOLDINGS LLC EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
TEXAS FROST HOLDINGS LLC DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE; THAT PRODUCT PRICING OR AVAILABILITY INFORMATION IS ACCURATE OR CURRENT; OR THAT ANY QUOTE OR ORDER REQUEST WILL RESULT IN A COMPLETED PURCHASE.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TEXAS FROST HOLDINGS LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOSS OF BUSINESS, OR LOSS OF DATA, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE PLATFORM, REGARDLESS OF THE THEORY OF LIABILITY.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TEXAS FROST HOLDINGS LLC'S TOTAL AGGREGATE LIABILITY TO YOU FOR CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOUR BRANCH TO TEXAS FROST HOLDINGS LLC IN THE THREE (3) MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100).
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR LIABILITY, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
15. Indemnification
You agree to indemnify, defend, and hold harmless Texas Frost Holdings LLC and its officers, directors, employees, and agents from and against any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or relating to: your violation of these Terms; your use of the Platform in a manner not authorized by these Terms; any content or specifications you submit through the Platform that infringe a third party's intellectual property rights or violate applicable law; or your misrepresentation of your authority to act on behalf of a business.
16. Account Suspension and Termination
16.1 Termination by Your Branch
Your Branch controls your account and may suspend, restrict, or deactivate your account at any time, for any reason. Texas Frost Holdings LLC is not responsible for your Branch's account management decisions.
16.2 Termination by Texas Frost Holdings LLC
Texas Frost Holdings LLC may suspend or terminate your access to the Platform if we determine, in our reasonable judgment, that you have violated these Terms or are using the Platform in a manner that harms other users, the Platform, or third parties.
16.3 Effect of Termination
Upon termination, your right to use the Platform ends immediately. Sections 9, 10, 11, 13, 14, 15, and 18 survive termination.
17. Changes to These Terms
Texas Frost Holdings LLC may update these Terms from time to time. When we make material changes, we will post the updated Terms with a new version date, display a notice within the Platform, and for material changes, require your re-acceptance before you can continue using the Platform. Your continued use after the effective date of any update constitutes your acceptance of the updated Terms.
18. Governing Law and Disputes
These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles. Any dispute arising under or related to these Terms shall be resolved in the state or federal courts of Travis County, Texas.
19. Miscellaneous
Entire agreement. These Terms, together with the Privacy Policyand any terms specific to your Branch's commercial relationship with you, constitute the entire agreement between you and Texas Frost Holdings LLC with respect to your use of the Platform.
Severability. If any provision of these Terms is found unenforceable, the remaining provisions remain in full force.
No waiver. Failure by Texas Frost Holdings LLC to enforce any provision does not constitute a waiver of the right to enforce it in the future.
Assignment. You may not assign or transfer your rights under these Terms. Texas Frost Holdings LLC may assign its rights in connection with a sale, merger, or transfer of the Platform or its business.
